1. Acceptance of Terms
These Terms of Service cover your use of Odybook SAS ("Odybook") software. By creating an account, you enter into a binding legal contract.
If you are using the platform on behalf of a company, you represent that you have the authority to bind that entity to these Terms.
We may modify these terms at any time. Continued use after changes indicates acceptance.
2. Key Definitions
To clarify our agreement, the following terms are used:
- "Platform": The Odybook SaaS, widgets, and API services.
- "User": Any professional (Guide or Agency) using the management tools.
- "Client": An end-customer booking an experience via the Platform.
- "Experience": Any tour or activity managed through Odybook.
- "Subscription": The recurring paid plan selected by the User.
3. Our Services
Odybook provides a cloud-based infrastructure to manage tourism bookings, including:
- Availability and calendar management
- Booking engine with public integration widgets
- Automated customer communication tools
- Payment processing integration via Stripe
- Team and resource management tools
Odybook is a software provider only. We are not a travel agency and do not provide the actual tour services.
4. Accounts & Security
You must provide accurate information when registering. Account sharing is prohibited.
You are responsable for all activity under your account and for maintaining credential security.
- Minimum age of 18 years for account holders
- Immediate notification required for security breaches
- One account per legal entity (unless multi-tenant plan)
- Responsibility for sub-user permissions and actions
We reserve the right to suspend accounts that pose a security risk or violate our conduct rules.
5. Payments & Billing
User subscriptions are billed on a recurring basis (monthly or annually) according to the selected plan.
Financial conditions:
- Fees are charged at the start of each billing cycle
- Payments are non-refundable for partial months of service
- Subscriptions renew automatically unless cancelled via the dashboard
- Failure to pay may lead to immediate loss of Platform access
- All prices are exclusive of applicable VAT/Taxes
We may adjust pricing with 30-day notice to existing subscribers.
6. Client Payments
Bookings made by Clients use the User's integrated Stripe account.
User obligations regarding payments:
- Maintaining a valid Stripe account in good standing
- Paying any applicable Stripe processing fees
- Managing disputes and chargebacks directly with Clients
Odybook charges 0% commission on Client bookings. Revenue is derived solely from User subscriptions.
7. Professional Responsibilities
Users (Agencies/Guides) are solely responsible for the services they sell.
Required standards:
Professional Obligations
- Ensuring accurate listing descriptions and pricing
- Honoring confirmed bookings made through the Platform
- Maintaining required business licenses and insurance
- Providing a safe and professional environment for Clients
- Handling Client complaints and refund requests
Client Expectations
- Providing accurate contact and participant information
- Adhering to the User's specific cancellation policies
- Following safety instructions provided by the Professional
8. Cancellation Policies
Users must define and display their cancellation policies for each Experience.
Client Cancellations
Refunds for Client cancellations are governed by the User's settings:
- Automatic refund processing if within policy limits
- No liability for Odybook regarding User-Client refund disputes
- Platform fees remain payable by the User regardless of refunds
Professional Cancellations
If a Professional cancels an experience:
- A full refund must be issued promptly to the Client
- The Client must be notified via the Platform tools
Neither party is liable for failure due to extraordinary events (natural disasters, war, etc.)
9. Refund Management
All refunds are processed via Stripe. Users must ensure sufficient funds in their Stripe balance for refunds.
Odybook is not responsible for refund delays caused by banks or payment networks.
- Standard refund window: 5-10 business days
- Refunds must be returned to the original payment method
- Stripe fees from the original transaction may not be refundable
10. Gift Cards
Users may issue gift cards. These are virtual credits valid only for the issuing User's services.
- Minimum validity period as per local consumer law
- Non-redeemable for cash unless legally required
- Transferable at the discretion of the issuing Professional
- The Professional is solely responsible for fulfilling gift card bookings
11. Acceptable Use
You agree not to misuse the Platform. Prohibited actions include:
- Uploading malicious code, spam, or illegal content
- Reverse engineering the Platform UI or backend
- Using the API to scrape data or bypass rate limits
- Impersonating other users or Odybook staff
- Using Odybook to facilitate illegal tourism activities
- Engaging in discriminatory or abusive behavior
Violation of use policies may result in permanent bans without refund.
12. User Content
You own the text and images you upload. You grant Odybook a license to host and display this content for your business needs.
License scope:
- Hosting and displaying content on your direct booking pages
- Distributing content through authorized API integrations
- Using non-sensitive content in Odybook marketing (with opt-out)
You warrant that you have all necessary rights to the content you upload.
13. Intellectual Property
Odybook, our logos, and our code are protected by global intellectual property laws.
Users are granted a limited, non-transferable right to use the software during their active subscription.
All rights not explicitly granted are reserved by Odybook SAS.
14. Limitation of Liability
Odybook is provided "AS IS". We do not guarantee 100% uptime or error-free operation.
We are not liable for:
- Loss of revenue due to platform downtime
- Accuracy of data edited by the User or Clients
- Disputes between Professional Users and their Clients
- Physical injuries or accidents during tour experiences
In all cases, our liability is capped at the total subscription fees paid in the last 12 months.
This does not exclude liability for gross negligence or willful misconduct.
15. Indemnity
You agree to protect Odybook from legal costs arising from your breach of these terms or your interactions with your Clients.
16. Account Deletion
You can cancel your subscription at any time. Features remain active until the end of the paid period.
We may terminate for cause if you violate these terms or fail to pay.
Post-termination:
- Your public booking widgets will stop functioning
- We may delete your data after a 30-day grace period
- Historical financial data is kept as required for audit
17. Resolution of Disputes
We prefer to resolve issues through friendly discussion. Contact support first.
For formal disputes, both parties agree to attempt mediation before litigation.
Consumers in the EU may use the ODR platform (ec.europa.eu/odr).
Claims must be brought individually (no class action).
18. Jurisdiction
These Terms are governed by French Law.
Exclusive jurisdiction is granted to the courts of Paris, France.
19. Policy Modifications
We update these terms as our platform evolves.
Significant changes will be communicated via email 15 days before taking effect.
